Role Overview The Legal Counsel provides broad in‑house legal advice to Helia to support the Company in operating in accordance with its legal, regulatory and governance obligations. The role is varied and includes general corporate legal advisory work, commercial and technology contracting, insurance and financial services regulation, privacy, data, cyber and AI matters, and listed entity and company secretarial support. The Legal Counsel will work directly with business stakeholders and manage matters with appropriate autonomy, escalating material legal, regulatory, governance or risk issues to the General Counsel or senior members of the Legal and Governance team. Responsibilities Provide clear, practical and commercially informed legal advice to senior leaders and business stakeholders on matters relevant to Helia’s operations. Draft, review and negotiate commercial, supplier and technology agreements, including SaaS, cloud, IT implementation and professional services contracts. Assist with company secretarial activities, including Board and Committee papers, governance documentation, corporate approvals, minutes, registers, policies and other Board information as required. Provide legal and governance support for Helia as an ASX‑listed entity and for related group companies, including advice on corporations law, ASX Listing Rules, continuous disclosure, shareholder communications and other corporate governance matters. Support the development of internal policies, standards, training and governance processes for privacy, data, cyber security, technology contracting and responsible AI. Enable regulatory change and business projects, including projects involving product, operations, outsourcing, technology, data, privacy, cyber, AI, operational resilience or supplier risk. Qualifications 5+ years’ post‑admission legal experience, preferably in corporate, commercial and/or technology practice, gained in private practice, in‑house or both. Strong contract drafting and negotiation skills, including experience with commercial, supplier, technology, outsourcing, SaaS/cloud, software, professional services, data processing and procurement arrangements. Understanding of the legal and regulatory environment for ASX‑listed and APRA‑regulated financial services entities; familiarity with CPS 230 and CPS 234 is highly desirable. Experience with corporate governance, company secretarial support, ASX Listing Rules, continuous disclosure and Board or Committee processes is desirable.
